Filed means the state said so.
An annual report is a small filing with an outsized blast radius: miss it and the fees, the dissolution clocks, and the reinstatement bills all start. Our filing desk exists so that the report is one less thing your formation date can ambush you with.
How a filing runs
§1
The confirmation gate
Before anything is prepared, you confirm the entity’s current data — officers or managers, addresses, agent — in the portal. Most filing errors are stale-data errors; the gate is where they die.
§2
Preparation and the state fee
The filing is prepared through the fulfillment desk. The state’s own fee is passed through at cost and shown to you before submission — Florida’s $138.75 is Florida’s, not ours, and the invoice keeps the two apart.
§3
Proof, then satisfied
The obligation is marked satisfied when the state’s confirmation record comes back — the stamped filing, the state receipt, the updated entity record. A submitted form is a claim; a confirmation is a fact. Your ledger holds facts.
Two ways to buy it
Launch pricing, published before enrollment opens. State filing fees pass through at cost and are shown before anything is filed. The reminder tier — one entity’s ledger, watched and reminded — is free.
Launch pricing; enrollment opens with the founding list. In a state whose published rules make a tier uneconomic to serve honestly, the state folio shows the correct tier before checkout.
What the desk will not file
Tax returns, court documents, and anything requiring a license we do not hold. Where a filing crosses into legal work, the desk stops and says so — a compliance calendar is not a law license.
The rate card, and the order we open in
Launch pricing, published before enrollment opens. State filing fees pass through at cost and are shown before anything is filed. The reminder tier — one entity’s ledger, watched and reminded — is free.
Enrollment is not open today. It opens when our wholesale fulfillment agreement is executed and a first test order has been completed and proven on the record. The founding list hears first — by state, in order. Questions before joining: write to the desk.
