Service agreement

Draft — pending legal review. This text is published for review before enrollment opens. It is not yet an operative agreement: no purchase is possible today, and the final version is the one in force on the day enrollment opens.

1. The parties, named

The Agent On File LLC (“we”) sells and operates this service. Registered agent fulfillment is provided by Registered Agents Inc, engaged through PNR Wholesale Services LLC under a wholesale agreement. The agent of record on your state filing is Registered Agents Inc. That identity is disclosed here, before purchase, and does not change without notice to you and a no-gap transition.

2. What the service is

(a) A registered agent and registered office maintained for your entity in its state, during business hours, for acceptance of service of process and official mail. (b) A compliance calendar: your entity’s recurring state obligations computed from verified state data, with reminders at 45, 21, 7, and 2 days before each due date. (c) A mail vault: scans of service of process and official state mail in your portal; full business-mail mirroring where your state and plan include it. (d) Where your plan includes filing: preparation and filing of the annual report or statement named in your plan.

3. Service clocks we bind ourselves to

Service of process and official state mail are scanned, typically within 24 hours of their receipt; the wholesale service standard is next business day at the outside. A service-of-process item escalates by email and portal alert immediately and by phone until you acknowledge it. Mail that cannot be matched to an entity enters a human review queue the same day; it is never held unassigned without a queue record.

4. Satisfaction means evidence

An obligation on your calendar is marked satisfied only on a state filing confirmation, your attestation identifying the confirmation, or the fulfillment order record. If we file for you and the state rejects the filing, the obligation is not satisfied, the rejection is escalated to you the day we learn of it, and the cure is on us.

5. Your duties

Keep a working email and phone on file; confirm entity data at the filing gate; tell us about address, officer, and ownership changes. State notices about your entity that reach you directly (some states write to the entity as well as the agent) should be forwarded to the portal — the calendar assumes the agent’s copy is the system of record only when it is.

6. Fees

Your plan price is the price at enrollment, renewed at the same price. State filing fees and state change fees are passed through at cost, itemized, and shown before filing. We do not charge for reading your mail, for the transition packet on exit, or for leaving.

7. Renewal protection — the no-silent-lapse rule

If a renewal payment fails or you cancel, coverage does not end in silence: you are notified at 60, 30, and 7 days before the term ends, and before the term ends you receive the transition packet — your obligation ledger, your mail archive, and the successor-agent instructions for your state. An agent resignation by us follows the same protocol with the successor-first rule: we do not resign into a gap.

8. What this service is not

Not legal advice, not a law firm, not tax preparation, not a virtual office or principal place of business. Deadlines computed from state data are a calendar, not a legal opinion; where a deadline dispute arises, the state’s published record governs.

9. Liability

Draft clause held for legal review: liability allocation, consequential-damages treatment, and the wholesale agreement’s cap flow-down are stated here in the operative version. The draft states the open item plainly rather than papering over it with borrowed certainty.
