STATE FOLIO — FL · VERIFIED 2026-11-04
Florida
Deadlines, agent rules, and the cost of a miss — kept by Florida Department of State, Division of Corporations (Sunbiz), checked against the state’s own publications on 2026-11-04. If a figure here ever disagrees with the state’s page, the state’s page governs and our re-verification queue takes the correction the same week.

The Florida brief
Florida runs the most unforgiving calendar in this wave. You get a four-month window, January 1 to May 1, and then the meter starts with a $400 late fee that Florida law flatly refuses to waive. The state offers no expedited processing at any price, so there is no buying your way out of a late start. The one kindness in the system: the annual report is also the change vehicle. Officers, managers, addresses, and the registered agent itself can all be changed on the same filing, which makes May 1 the single date on which a Florida entity’s whole public record is either confirmed or goes stale.
§1 · FOLIO FL-1
The registered agent in Florida
A registered agent name and address is required; the agent may be an individual or a registered business entity, an entity cannot serve as its own agent, and the registered office must be a Florida street address (post office box not acceptable); a new agent must electronically sign/accept the designation
The agent of record for every entity we serve is Registered Agents Inc, engaged through PNR Wholesale Services LLC — named before purchase, in the agreement, and here. We do not resell an unnamed network.

Mail in Florida
Full mail mirroring is available in Florida. Service of process and official state mail are scanned to your portal, typically within 24 hours; ordinary business mail sent to your registered office address is mirrored on the same terms, under your mail plan. The physical originals stay on file; a service-of-process item also triggers a phone escalation until you acknowledge it.
§4 · FOLIO FL-4
Switching your Florida agent to us
The switch is a relay, not a leap: the new agent is in place before the old one is released, and the change is proven on the state record — never assumed from a submitted form.
Successor filed
The new agent designation goes to the state first. State fee for this folio: $50 / $61.25 amended report (LLC / corp), at cost.
Read-back
The state record is read back. It must show the new agent before anything else moves.
Release
Only then is the old agent released. Release first, file second — that order leaves the entity with no agent, and it is never run. The shaded node is the no-agent-gap window the relay exists to close.
Instrument: On the annual report itself, an amended annual report, or the Division’s statement of change. State fee:$50 / $61.25 amended report (LLC / corp). No separate state fee applies when the change rides the annual report. An amended annual report costs $50 for an LLC and $61.25 for a corporation.
Every year between January 1 and May 1. The report is not due in the year the LLC is formed; the first one is due in the following year’s window. File after May 1 and a $400 late fee attaches.
How much is the Florida annual report late fee?
$400 for profit corporations, LLCs, and limited partnerships — and Florida law has no provision to waive or abate it. Nonprofit corporations are exempt from the $400 fee but not from the report itself.
What happens if I never file my Florida annual report?
If no report is filed by the third Friday of September, the Division administratively dissolves the entity (or revokes a foreign entity’s authority) at the close of business on the fourth Friday of September. Reinstatement then costs the reinstatement fee plus every missed year’s report fee.
Can I change my Florida registered agent on the annual report?
Yes. The annual report lets you change the registered agent and registered office, along with officers, managers, and addresses, on the same filing. If you already filed this year’s report, an amended annual report ($50 for an LLC, $61.25 for a corporation) makes the change.
Can my Florida LLC be its own registered agent?
No. A business entity can serve as a registered agent for another entity, but it cannot serve as its own. An individual inside the business — an owner or officer — may serve personally.
