The North Carolina brief

North Carolina runs two different calendars under one roof, and quoting one for the other is the classic North Carolina error. An LLC owes a $200 annual report every April 15, starting the April after the year it was created. A corporation owes a far cheaper report — $25 on paper, $21 online — on a fiscal rule: the 15th day of the fourth month after its fiscal year ends, which is April 15 only for a December year-end. North Carolina charges no late fee for either report. What it charges instead is time: miss by 60 days and the ground for administrative dissolution exists; the Secretary mails notice, and 60 days after that notice the dissolution can be entered by certificate. The cure is priced just as plainly — a $100 reinstatement application, plus $200 for every delinquent LLC report.

The registered agent in North Carolina

Every entity registered with SOS requires a registered agent to accept service of process (SOS Registered Agent pages): an individual who resides in NC, or a domestic/foreign corporation, nonprofit or LLC registered and authorized in NC whose business office is identical with the registered office; the agent must continuously maintain a physical registered office in NC

The agent of record for every entity we serve is Registered Agents Inc, engaged through PNR Wholesale Services LLC — named before purchase, in the agreement, and here. We do not resell an unnamed network.

Switching your North Carolina agent to us

The switch is a relay, not a leap: the new agent is in place before the old one is released, and the change is proven on the state record — never assumed from a submitted form.

Instrument: Statement of Change of Registered Office and/or Registered Agent (Form BE-06), filed with the Secretary of State, Business Registration Division. State fee: $5. State fee per the Secretary of State’s Business Registration Manual (BE-06 listed at $5.00), read 2026-11-05. A corporation’s statement of change carries the same $5 under G.S. 55-1-22.

How the no-gap switch works, state by state

North Carolina questions, answered from the record

When is the North Carolina LLC annual report due?

April 15 of each year after the year of creation — a company created in 2025 owes its first report on April 15, 2026. The fee is $200 on paper, $203 filed online (the online price includes the electronic filing fee).

When is the North Carolina corporation annual report due?

On the 15th day of the fourth month following the corporation’s fiscal year end — April 15 for a December year-end, which is the case the computed dates on this folio assume. A corporation whose year ends in June is due October 15. The fee is $25 on paper, $21 online.

Does North Carolina charge a late fee for the annual report?

No monetary late fee is published for either entity type. The consequence is a clock, not a fine: failure to deliver the report on or before the 60th day after it is due is a ground for administrative dissolution (G.S. 57D-6-06 for LLCs; G.S. 55-14-20(2) for corporations).

What happens after North Carolina moves to dissolve my company?

The Secretary of State mails written notice of the determination. If the company does not correct each ground within 60 days after the notice is mailed, the Secretary dissolves it by certificate. Reinstatement follows the G.S. 55-14-22 procedure: a $100 application, plus $200 for every delinquent LLC annual report.

How much does it cost to change a North Carolina registered agent?

The state fee is $5 — Form BE-06, the Statement of Change of Registered Office and/or Registered Agent, per the Secretary of State’s Business Registration Manual. Corporations pay the same $5 for their statement of change.

Does The Agent On File mirror my business mail in North Carolina?

Not yet. North Carolina is not one of the twenty states in the full mail-mirroring plan, so North Carolina service is process and official state mail, scanned to your portal, typically within 24 hours. When full mirroring opens in North Carolina, this folio will say so with a date.
