STATE FOLIO — NJ · VERIFIED 2026-11-04
New Jersey
Deadlines, agent rules, and the cost of a miss — kept by New Jersey Division of Revenue and Enterprise Services (DORES), via Business.NJ.gov, checked against the state’s own publications on 2026-11-04. If a figure here ever disagrees with the state’s page, the state’s page governs and our re-verification queue takes the correction the same week.

The New Jersey brief
New Jersey gives every company a personal deadline: the last day of the month in which the business was formed, every year. The fee is a flat $75 for LLCs and for-profit corporations alike — confirmed on both Business.NJ.gov and the Treasury’s own fee schedule — and the annual report doubles as the moment the state asks you to confirm your registered agent and address are still right. There is no published late fee to budget for; the published consequence of not filing is revocation of the business. New Jersey’s calendar is simple. Its silence about second chances is the point.

Mail in New Jersey
Full mail mirroring is available in New Jersey. Service of process and official state mail are scanned to your portal, typically within 24 hours; ordinary business mail sent to your registered office address is mirrored on the same terms, under your mail plan. The physical originals stay on file; a service-of-process item also triggers a phone escalation until you acknowledge it.

Switching your New Jersey agent to us
The switch is a relay, not a leap: the new agent is in place before the old one is released, and the change is proven on the state record — never assumed from a submitted form.
Successor filed
The new agent designation goes to the state first. State fee for this folio: $25, at cost.
Read-back
The state record is read back. It must show the new agent before anything else moves.
Release
Only then is the old agent released. Release first, file second — that order leaves the entity with no agent, and it is never run. The shaded node is the no-agent-gap window the relay exists to close.
Instrument: Change of Registered Office or Agent filing with DORES. State fee:$25. Per the NJ Treasury DORES Registry Fee Schedules, as recorded in the verified dataset row.
Every year, on the last day of the month in which your business was formed. Formed in March, your report is due March 31 — every March 31.
How much is the New Jersey annual report?
$75 for LLCs and for-profit corporations. Nonprofit corporations file the annual report at $30, per the DORES fee schedule.
Does New Jersey charge a late fee for the annual report?
The official pages publish no late fee. What they do publish is the consequence: failure to file can result in revocation of the business. In New Jersey the risk is not a fine — it is the charter.
How much does it cost to change a New Jersey registered agent?
The DORES fee schedule lists a Change of Registered Office or Agent at $25. The annual report also asks you to confirm the agent and address on record are current.
