The New York brief
New York is the exception that proves the agent rule. The state does not require a registered agent at all: by law, the Secretary of State is every corporation’s and LLC’s agent for service of process, and what the owner actually maintains is the address the Department of State forwards process to. That address rides on the Biennial Statement — $9, filed during your formation month, every two years. Skip it and nothing dramatic happens on any published schedule; your entity simply shows as past due, and that past-due mark appears on the Certificate of Status your bank or counterparty pulls. In New York the discipline is not agent fees. It is address hygiene.
§1 · FOLIO NY-1
The registered agent in New York
New York requires no separate registered agent. The corporation or LLC designates the Secretary of State as its agent for service of process and keeps a current address — set out in the Biennial Statement — to which the Secretary forwards process. Designating an additional registered agent is optional.
Because the Secretary of State is the agent by law, our New York service is the forwarding-address discipline plus the biennial calendar — described plainly, priced inside the same flat annual fee.

Mail in New York
Full mail mirroring is available in New York. Service of process and official state mail are scanned to your portal, typically within 24 hours; ordinary business mail sent to your registered office address is mirrored on the same terms, under your mail plan. The physical originals stay on file; a service-of-process item also triggers a phone escalation until you acknowledge it.

Switching your New York agent to us
The switch is a relay, not a leap: the new agent is in place before the old one is released, and the change is proven on the state record — never assumed from a submitted form.
Successor filed
The new agent designation goes to the state first. State fee for this folio: $30, at cost.
Read-back
The state record is read back. It must show the new agent before anything else moves.
Release
Only then is the old agent released. Release first, file second — that order leaves the entity with no agent, and it is never run. The shaded node is the no-agent-gap window the relay exists to close.
Instrument: Certificate of Change, filed with the Department of State (LLC Law § 211-A for LLCs; Business Corporation Law § 805-A for corporations). State fee:$30. State fee per the Department of State’s Certificate of Change pages for domestic LLCs and domestic business corporations, read 2026-11-05. The same certificate makes, revokes, or changes the designation of the optional registered agent, and can also change the address to which the Secretary of State forwards process.
No. By law the Secretary of State is the agent for service of process for New York corporations and LLCs. What you maintain is the forwarding address the Department of State mails process to. Naming an additional registered agent is optional.
What does a New York LLC file, and when?
A Biennial Statement, $9, during the calendar month of the original formation filing — first due two years after formation, then every two years. It is not an annual obligation, whatever a renewal notice in your inbox claims.
What happens if my New York Biennial Statement is past due?
The Department of State shows the entity as past due in its records and on any Certificate of Status. The Department publishes no late fee and no dissolution for it — the cost is the past-due mark surfacing exactly when someone checks your standing.
What does an agent service do in New York, if no agent is required?
It holds a stable process-forwarding address that does not change when you move, and it keeps the biennial calendar so the statement is filed in its month, every cycle. In New York, the address and the calendar are the product.
