The Oregon brief
Oregon is the strictest agent state in this wave. The registered office must be a physical Oregon street address — the Secretary of State’s own rules bar post office boxes, commercial mail receiving agencies, mail forwarding businesses, and virtual offices outright — and the entity cannot be its own agent. The annual report itself is plain: $100, due on the exact anniversary of registration, with a renewal notice mailed about 45 days ahead. Oregon’s combination is unusual — a simple calendar wrapped around an unforgiving definition of where your company legally lives.
§1 · FOLIO OR-1
The registered agent in Oregon
All business entities must appoint and maintain a registered agent with a physical street address in Oregon. Agent is an individual residing in Oregon whose business office is identical to the registered office, or a registered domestic/foreign business entity authorized to transact business in Oregon whose business office is identical to the registered office. Registered office must be an Oregon physical street address — not a PO Box, commercial mail receiving agency, mail forwarding business or virtual office; the entity cannot be its own registered agent (an individual owner may serve); consent is required.
The agent of record for every entity we serve is Registered Agents Inc, engaged through PNR Wholesale Services LLC — named before purchase, in the agreement, and here. We do not resell an unnamed network.

Mail in Oregon
Full mail mirroring is available in Oregon. Service of process and official state mail are scanned to your portal, typically within 24 hours; ordinary business mail sent to your registered office address is mirrored on the same terms, under your mail plan. The physical originals stay on file; a service-of-process item also triggers a phone escalation until you acknowledge it.
§4 · FOLIO OR-4
Switching your Oregon agent to us
The switch is a relay, not a leap: the new agent is in place before the old one is released, and the change is proven on the state record — never assumed from a submitted form.
Successor filed
The new agent designation goes to the state first. State fee for this folio: $0, at cost.
Read-back
The state record is read back. It must show the new agent before anything else moves.
Release
Only then is the old agent released. Release first, file second — that order leaves the entity with no agent, and it is never run. The shaded node is the no-agent-gap window the relay exists to close.
Instrument: Change of Registered Agent/Address, filed with the Secretary of State, Business Registry. State fee:$0. No state fee: the Secretary of State’s Business Registry Fee Schedule lists Change of Registered Agent/Address (Corp/LLC) at $0.00, read 2026-11-05.
On the anniversary of the entity’s registration, every year. The Secretary of State mails a renewal notice about 45 days before the date. Domestic LLCs and corporations pay $100.
Is there an Oregon annual report late fee?
The Secretary of State’s fee schedule states no flat late fee. The cure for a missed report is reinstatement: correct the record and pay the reinstatement fee plus every missed annual fee — available for entities dissolved less than five years.
Can I use a virtual office as my Oregon registered office?
No. Oregon bars post office boxes, commercial mail receiving agencies, mail-forwarding businesses, and virtual offices as registered offices. The address must be a physical Oregon street address, and the entity cannot serve as its own agent.
Who can be an Oregon registered agent?
An individual residing in Oregon whose business office is identical to the registered office, or a domestic or foreign entity authorized to transact business in Oregon with its office at that address. The agent’s consent is required.
