If a figure here ever disagrees with the state’s page, the state’s page governs and our re-verification queue takes the correction the same week.

The Virginia brief
Virginia does not run through a Secretary of State at all — the State Corporation Commission holds the record, and it splits the obligation by entity type. An LLC files no annual report; it pays a $50 annual registration fee, due the last day of its anniversary month, with cancellation on the last day of the third month after a missed due date. A corporation files both an annual report (no filing fee) and a registration fee scaled by authorized shares, $100 to $1,700. And in Virginia the agent is load-bearing in a specific, documented way: the Commission mails the fee assessment to your registered agent two months before the due date, and the agent is the one expected to forward it to you.
§1 · FOLIO VA-1
The registered agent in Virginia
Must maintain a registered agent and registered office in Virginia; the SCC mails the annual registration fee assessment to the registered agent at the registered office on file two months before the due date, and the agent must forward it to the company (SCC page)
The agent of record for every entity we serve is Registered Agents Inc, engaged through PNR Wholesale Services LLC — named before purchase, in the agreement, and here. We do not resell an unnamed network.

Mail in Virginia
Full mail mirroring is available in Virginia. Service of process and official state mail are scanned to your portal, typically within 24 hours; ordinary business mail sent to your registered office address is mirrored on the same terms, under your mail plan. The physical originals stay on file; a service-of-process item also triggers a phone escalation until you acknowledge it.
§4 · FOLIO VA-4
Switching your Virginia agent to us
The switch is a relay, not a leap: the new agent is in place before the old one is released, and the change is proven on the state record — never assumed from a submitted form.
Successor filed
The new agent designation goes to the state first. State fee for this folio: confirmed in writing when the switch is prepared, at cost.
Read-back
The state record is read back. It must show the new agent before anything else moves.
Release
Only then is the old agent released. Release first, file second — that order leaves the entity with no agent, and it is never run. The shaded node is the no-agent-gap window the relay exists to close.
Instrument: Separate filing with the Clerk’s Office — the agent cannot be changed on the annual report. Virginia does not allow the registered agent’s name or address to be changed on the annual report; a separate filing is required.
No. A Virginia LLC pays an annual registration fee — $50 — due by the last day of its anniversary month. There is no LLC annual report to the SCC.
What happens if a Virginia LLC misses its registration fee?
A $25 penalty applies if payment is not received by the due date, and the LLC’s existence is cancelled on the last day of the third month following the due date.
What does a Virginia corporation file each year?
Two linked items, both due the last day of the anniversary month: an annual report (no filing fee) and an annual registration fee scaled by authorized shares — $100 minimum to $1,700 maximum. An unfiled report terminates corporate existence if not filed within five months after its due date.
Can I change my Virginia registered agent on the annual report?
No. The agent’s name and address cannot be changed on the annual report — Virginia requires a separate filing. The Commission also mails the annual assessment to the registered agent two months ahead, which makes a stale agent a missed-bill machine.
