The Washington brief
Washington’s lesson is fee drift. The current Secretary of State annual report form (revised June 2025) sets the fee at $70 for profit entities; the $60 figure still quoted across the internet comes from the superseded form. The report is due by the expiration date — the last day of your formation month — and Washington opens the window a full 180 days early, the widest early window in this wave. Past the date, a $25 delinquency fee attaches and administrative dissolution enters the picture. File early, from the current form, at the current price: Washington rewards exactly that.

Mail in Washington
Full mail mirroring is available in Washington. Service of process and official state mail are scanned to your portal, typically within 24 hours; ordinary business mail sent to your registered office address is mirrored on the same terms, under your mail plan. The physical originals stay on file; a service-of-process item also triggers a phone escalation until you acknowledge it.

Switching your Washington agent to us
The switch is a relay, not a leap: the new agent is in place before the old one is released, and the change is proven on the state record — never assumed from a submitted form.
Successor filed
The new agent designation goes to the state first. State fee for this folio: $0, at cost.
Read-back
The state record is read back. It must show the new agent before anything else moves.
Release
Only then is the old agent released. Release first, file second — that order leaves the entity with no agent, and it is never run. The shaded node is the no-agent-gap window the relay exists to close.
Instrument: Statement of Change/Designation of Registered Agent, filed with the Secretary of State (RCW 23.95.415). State fee:$0. No state fee: the Secretary of State’s Statement of Change form instructions (revised June 2025) state there is no filing fee to update or change the registered agent, read 2026-11-05. Expedited handling, if requested, adds $100.
$70 for profit corporations and LLCs, per the Secretary of State’s current annual report form (revised June 2025). The $60 figure on older pages and forms is outdated.
When is the Washington annual report due?
By the expiration date — the last day of the month in which the business was formed or registered. It may be filed up to 180 days before that date.
What happens if the Washington annual report is late?
A $25 delinquency fee applies when the report is received past the expiration date, and failure to file may result in administrative dissolution.
Is the Secretary of State annual report the same as the business license renewal?
No. Washington’s business license renewal runs through the Department of Revenue — a separate system from the Secretary of State’s annual report. Both exist; confusing them is how one gets missed.
