The Wyoming brief

Wyoming’s trap is the calendar, not the fee. The report is due on the first day of your anniversary month — a company formed on April 22 owes its report by April 1, three weeks before the date its owner thinks of as the anniversary. The tax itself is asset-based: $60 is only the minimum, covering up to $300,000 of assets located in Wyoming, and companies with more in-state assets pay two-tenths of a mill on the dollar. You may file up to 120 days early, which makes Wyoming the rare state where the correct move is to file the moment the window opens and never think about it again.

§1 · FOLIO WY-1

The registered agent in Wyoming

Every Wyoming entity must continuously maintain a registered agent with a Wyoming physical address — the address where process is served and where the Secretary of State sends delinquency and dissolution notices (by email, to the address on the entity’s record). Businesses that serve as agent for multiple companies register as commercial registered agents with the Secretary of State.

The agent of record for every entity we serve is Registered Agents Inc, engaged through PNR Wholesale Services LLC — named before purchase, in the agreement, and here. We do not resell an unnamed network.

What a miss costs in Wyoming

If the annual report is not filed within 60 days following the due date, the Secretary of State administratively dissolves the entity — one of the fastest dissolution clocks in the country. Reinstatement for a tax dissolution costs $100 (LLC, corporation, LP) plus every delinquent year’s license tax, and is available only within two years of dissolution (Wyo. Stat. § 17-29-705). Dissolution for losing your registered agent is far more expensive to cure: $350 for an LLC, $250 for a profit corporation, $150 for a nonprofit.

Mail in Wyoming

Full mail mirroring is available in Wyoming. Service of process and official state mail are scanned to your portal, typically within 24 hours; ordinary business mail sent to your registered office address is mirrored on the same terms, under your mail plan. The physical originals stay on file; a service-of-process item also triggers a phone escalation until you acknowledge it.

Switching your Wyoming agent to us

The switch is a relay, not a leap: the new agent is in place before the old one is released, and the change is proven on the state record — never assumed from a submitted form.

Instrument: Appointment of New Registered Agent and Office, filed with the Business Division. State fee: $5. State fee per the Business Division fee schedule. Agent information updates and resignations are also $5 per entity affected.

Wyoming questions, answered from the record

When is the Wyoming annual report due?

On or before the first day of your anniversary month of formation — not the anniversary date itself. Formed January 15, your report is due January 1, starting with your first anniversary. You can file up to 120 days early.

How much is the Wyoming annual report license tax?

The greater of $60 or two-tenths of one mill ($0.0002) per dollar of assets located and employed in Wyoming. Most out-of-state owners with no Wyoming assets pay the $60 minimum. Nonprofit corporations pay a flat $25 report fee instead.

What happens if my Wyoming LLC misses its annual report?

The tax stays due in full. If the report is still unfiled 60 days after the due date, the Secretary of State administratively dissolves the entity. Reinstatement for a tax dissolution is $100 plus all delinquent license taxes, and it is only available within two years of dissolution.

How much does it cost to change a Wyoming registered agent?

The state fee for an Appointment of New Registered Agent and Office is $5 per the Business Division’s fee schedule. Losing your agent entirely is the expensive path: reinstatement after a no-registered-agent dissolution costs $350 for an LLC.

Does Wyoming send annual report reminders?

Yes — reminder, delinquency, and dissolution notices are delivered by email to the address on the entity’s record. If that email is stale or lands with an old agent, the dissolution notice may be the first one that reaches you.
